1. Game of Skill: The Huddle MVP Challenge™ (HMVPC) is a game of skill in which participants use their knowledge and analysis of professional football, and the skills and strategies surrounding the rules governing the HMVPC, to compete against other participants. Winners are determined by the objective criteria enumerated under the Official Rules of the 2007 Huddle MVP Challenge™.
2. Participants: To enter the 2007 HMVPC, individuals must submit a valid entry via the online signup form. By signing up via that online process participant is agreeing to abide by the official terms, disclaimers and rules governing the HMVPC.
3. Co-Participants: Only one person will be considered the manager of a team in the HMVPC and any prize awards will be paid solely to that one individual. Teams may elect to have co-managers if they wish, but for all official HMVPC purposes each team will be owned by one individual. Co-participants have no legal standing with the HMVPC and may be residents of any state.
4. Number of Participants: The 2007 HMVPC will not have a maximum number of participants, but we reserve the right to close the contest if the number of participants exceeds 10,000.
5. Eligibility: The HMVPC is open to all paid subscribers of The Huddle web site. However, you must be 21 years of age or older and a legal residents of the 50 United States, Washington D.C., and Canada (excluding Puerto Rico and Quebec). Residents of Arizona, Colorado, Florida, Iowa, Louisiana, Maryland, Montana New Jersey and Vermont, (collectively “Restricted States”) may play and be noted in the standings, but they are not eligible to win any prizes. Employees of InterSport, Inc. and members of their immediate families are not eligible to play. (Immediate family is defined as parent, sibling, or any other person residing in the same household as employee or consultant). Contestants must have and supply their own access to a computer and the Internet to manage their teams. Only one entry is allowed for each subscriber to The Huddle web site. All multiple entries and entries that don't match The Huddle's subscriber list will be disqualified and ineligible for any prizes.
6. Term of the HMVPC: The 2007 HMVPC begins on Thursday, September 6, 2007, and ends on Tuesday, December 25, 2007, spanning the first 16 weeks of the NFL regular season.
7. Cancellation of Contest: If the HMVPC is cancelled because of an act of terrorism, or any unforeseen catastrophe, or an Act of God, or lack of participation, then InterSport, Inc. is not responsible for any loss or liability incurred by any participant due to cancellation of the HMVPC.
8. Additional Contests: If participation levels and conditions warrant, InterSport, Inc., at their sole discretion, may establish and operate additional HMVPC contests. All contests will operate separately and have no impact on the participation, operation or prize structure of any other HMVPC contest.
9. NFL Scheduling: If for any reason, the National Football League amends any portion of its regular season schedule, InterSport, Inc. reserves the right to determine prize winners based on an amended HMVPC finals system. InterSport, Inc. reserves the right to make any and all reasonable scheduling and finals changes if the NFL alters its schedule. In the event that the NFL cancels any part of its regular season schedule, InterSport, Inc. reserves the right to determine HMVPC prizes based on the NFL games already played.
10. HMVPC Management/Commissioner: InterSport, Inc. will employ a third party management service for the HMVPC to keep track of all reporting, starting lineup submissions, fantasy point calculations, weekly winners, overall standings, and finals rankings. All NFL player statistics will be provided by a third party and will serve as the standard for all scoring. InterSport, Inc. will serve as the Commissioner of the 2007 HMVPC as it relates to decisions and rulings regarding the tournament.
11. Scoring Discrepancies: Any and all scoring discrepancies affecting a team must be noted and submitted via email to the HMVPC Commissioners at mvp@thehuddle.com by midnight PST on the Tuesday following the completion of that week’s games. After 6:00 PM PST on Wednesday of any given week, all scores will be considered final. It will be up to the sole discretion of InterSport, Inc. as to whether a change in the official statistics of a player can reasonably be applied to amend the HMVPC rankings or scoring of any or all teams potentially affected by the change in a player’s statistics.
12. Disputes/Appeals Regarding Rules: Any disputes or appeals regarding the HMVPC Official Rules will be decided solely by InterSport, Inc. using its interpretation of the rules. InterSport, Inc. will consider the intent and spirit of the rules; the integrity of the HMVPC contest; as well as the feasibility of accommodating any appeal. Any and all disputes or appeals must be submitted via email to mvp@thehuddle.com. The deadline for submitting a rules dispute or appeal is by midnight PST on the Tuesday following the completion of that game or games in which the dispute has occurred. Please include a detailed and lucid account of the dispute and resolution requested. All rulings made by InterSport, Inc. are final and binding.
13. Prize Notification: Winners will be notified by email or regular mail within 15 days after the overall results are posted on The Huddle web site at the conclusion of the contest. Winners must reply via email or regular mail within 15 days following attempted notification. Any prize notification returned as undeliverable may result in disqualification and selection of an alternate winner. By accepting any prize, the winner grants permission to InterSport, Inc. to use their names and/or likenesses for publicity and promotional purposes without further compensation, unless prohibited by law, and agree to execute a written consent.
14. Prize Money: All prize money will be overseen and secured by Wells Fargo Bank, one of the nation's leading financial institutions, with all prizes to be paid at the direction of InterSport, Inc. to the winners as determined by the terms enumerated herein. All prize money will be paid within 30 days of the completion of the HMVPC. Any interest accrued to prize money does not convey to the prize winner. Any non-cash prizes may be substituted by cash, or by a prize of equal or greater value at the sole discretion of InterSport, Inc.
15. Prizes: All prize amounts are guaranteed by InterSport, Inc.
16. Taxes: Winners agree to submit their valid and legal social security number to InterSport, Inc., and winners understand that their social security numbers will be used to report income to the Internal Revenue Service. All taxes associated with the receipt of any prize are the sole responsibility of the winner. A form 1099 will be issued to all prize winners receiving $600.00 or more.
17. Disbursement of Prize Money: InterSport, Inc. will distribute 100% of all prize winnings of the HMVPC directly to each winning participant, and only to the winning participant. InterSport, Inc. is not responsible for, or bound by, any agreement between the participant and any third parties regarding apportionment of the prize money.
18. Participants’ Proprietary Information: Any proprietary information given to the HMVPC participants, including but not limited to an internet password to access the HMVPC contest website, shall be kept confidential by both InterSport, Inc. and the participant. InterSport, Inc. will not be responsible for any changes made to the roster or starting line up by third parties or co-team managers who access the HMVPC website.
19. Internet/Technology Problems: InterSport, Inc. is not responsible if the Internet portion of the HMVPC is not capable of running as planned, for any reason, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of InterSport, Inc. which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this tournament. InterSport, Inc. assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation, faulty transmission or communication, line failure, theft, destruction, or unauthorized access to tournament activities conducted or information transmitted via the Internet or the telephone. InterSport, Inc. is not responsible for any problem or technical malfunction of any telephone network, telephone line, cable network, cable, computer on-line system, server, equipment, or software. InterSport, Inc. is not responsible for the failure of any e-mail or entry or change to be applied to a customer's account due to technical problems or traffic congestion on the Internet or at any web site, phone or fax lines, or any combination thereof, including any injury or damage to a customer's computer related to or resulting from participation in the HMVPC (including without limitation, damages by virus).
20. Team Management Disclaimer: InterSport, Inc. is not responsible for any problem or technical malfunction which impedes or interferes with the transmission or receipt of any team transaction, including but not limited to starting lineup submissions. InterSport, Inc. is not responsible for the failure of any telephone network or lines, computer online systems, servers, equipment or software, or traffic congestion on the Internet or at any web site, phone lines, or any combination thereof, including any injury or damage to a participant's computer related to or resulting from participation in the HMVPC.
21. Collusion: Any participants who collude in an effort to alter the standings, rankings, or fantasy point totals will be prohibited from winning any prize money and will further have their teams taken over by a surrogate or agent of InterSport, Inc. Any participant who attempt to bribe, coerce, blackmail or otherwise influence an officer, agent, affiliate, vendor or surrogate of InterSport, Inc. in an effort to alter the standings, rankings, or fantasy point totals will be prohibited from winning any prize money and will further have his or her team taken over by a surrogate or agent of InterSport, Inc.. Any criminal behavior by a participant which attempts to corrupt or alter the fairness of the HMVPC will result in civil and/or criminal prosecution.
22. Team Competitiveness: Participants are expected to manage their team to the best of their ability for the duration of the HMVPC season. However, the HMVPC recognizes that some teams will abandon their effort to compete during the season. This might include the failure to alter or turn in lineups, etc. InterSport, Inc. regards such behavior as an unavoidable element of any fantasy football league. As such, InterSport, Inc. will not directly interfere or alter the management decisions (or indecisions) of any HMVPC participant.
23. Event Tampering: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE HMVPC WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE HMVPC IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND IN THE EVENT THAT AN ATTEMPT BE MADE, INTERSPORT, INC. RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.
24. Disclaimers: InterSport, Inc. is not responsible for any HMVPC disruptions, injuries, losses or damages caused by events beyond the control of InterSport, Inc. or any printing or typographical errors in any materials associated with the HMVPC. InterSport, Inc. or any subsidiary, affiliated company, or vendor are not in any way responsible or liable for any damage, loss or injury (including death) resulting from any participant’s activity in the HMVPC and related events, and/or acceptance and use of any prize won. InterSport, Inc. is solely responsible for enacting, administering, enforcing the rules, and maintaining the integrity of the HMVPC. The HMVPC and web site are not sponsored, affiliated or endorsed by the National Football League or the NFL Players’ Association.
25. Corporate Exclusion: InterSport, Inc. nor its owners nor affiliates and their respective directors, officers, employees and agents, either individually or collectively is party to the agreement between InterSport, Inc. and any participants. Accordingly, the parties hereby agree that in the event that there is an alleged breach of contract or alleged liability incurred, no party shall commence any proceedings or otherwise seek to impose any liability whatsoever against InterSport, Inc. or its owners or affiliates and their respective directors, officers, employees and agents, by reason of alleged breach, default or claim.
26. General Release: By participating in the HMVPC, you release and agree to hold harmless InterSport, Inc., participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the “Released Parties”) from any liability whatsoever for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the HMVPC or acceptance, possession, or use of any prize (including, without limitation, claims, costs, injuries and losses related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional, whether under a theory of contract, tort (including negligence), warrant or other theory.
27. Governing Laws: HMVPC is governed by the laws of the state of Nevada without regard to principles of conflicts of law.
28. Headers: The section headers contained herein are only provided for convenience purposes only and shall not be used to modify or interpret the terms of these Official Rules.
29. Severability: In the event that any provision of these Official Rules is found invalid or unenforceable pursuant to judicial decree or decision, the remainder of the Official Rules shall remain valid and enforceable according to its terms. The parties intend that the provisions of these Official Rules be enforced to the fullest extent permitted by applicable law. Accordingly, the parties agree that if any provisions are deemed not enforceable, they shall be deemed modified to the extent necessary to make them enforceable. |
